1. Acceptance of Terms
By accessing, browsing, or utilizing Digi's innovative remote work platform, creating an account, submitting applications, or accepting work assignments through our comprehensive services, you expressly acknowledge that you have thoroughly reviewed, fully understood, and unconditionally agree to be legally bound by these Terms & Conditions ("Agreement"). If you do not agree with any provision of this Agreement, you are prohibited from using our services and must immediately discontinue all platform activities.
Digi reserves the unqualified right to modify, update, or revise these Terms at any time without prior notice. We will communicate material changes through multiple channels including email notifications, in-platform announcements, and website banners. Your continued use of our services following such modifications constitutes your binding acceptance of the updated Agreement.
2. Service Description
Digi operates as an innovative digital ecosystem that revolutionizes remote work connections across Australia and New Zealand. Our comprehensive services include:
- Advanced AI-powered matching of qualified contractors with premium remote work assignments
- Comprehensive skill development programs and certification pathways for remote work excellence
- Integrated communication suite facilitating seamless collaboration between contractors and companies
- Automated payment processing with flexible options including traditional and digital currencies
- 24/7 career coaching and professional development support
- Exclusive access to enterprise-level tools and software licensing
- Performance analytics and career progression tracking
While we strive to maintain consistent assignment availability, Digi does not guarantee continuous work opportunities or specific income levels. Remote work assignments are subject to market demand, seasonal variations, and individual contractor performance metrics.
3. Eligibility and Registration
3.1 Age and Legal Requirements
- You must be at least 19 years of age
- You must have legal authorization to work in Australia or New Zealand
- You must provide accurate and complete information during registration
- You must maintain updated contact information and payment details
- You must possess a valid Tax File Number or IRD number (for NZ residents)
3.2 Technical Requirements
- High-speed internet connection with minimum 50 Mbps download and 10 Mbps upload speeds
- Professional-grade computer setup with dual monitors (recommended minimum 24-inch displays)
- Noise-canceling headset and HD webcam for virtual meetings
- Dedicated home office space with professional lighting setup
- Advanced proficiency in English with excellent written and verbal communication skills
- Ability to work across multiple time zones and maintain flexible scheduling
- Professional project management and time tracking software proficiency
- Backup power solutions and redundant internet connectivity options
3.3 Registration and Onboarding Process
Our comprehensive registration process includes multiple verification stages: initial application submission, live video interview assessment, comprehensive skill evaluation testing, professional reference verification, and final background security clearance. Additionally, candidates must complete our proprietary Remote Work Readiness Assessment and Digital Communication Proficiency Test.
Digi maintains the absolute discretion to accept or reject applications based on our stringent quality standards, market demand, and strategic business requirements. Rejected applicants may reapply after a minimum 6-month waiting period, subject to demonstrable skill improvement and changed circumstances.
4. Independent Contractor Relationship
Important: All remote work performed through Digi's platform is on an independent contractor basis. You are not an employee of Digi or its client companies.
4.1 Contractor Status
By using our platform, you acknowledge and agree that:
- You are an independent contractor, not an employee
- You are responsible for your own taxes, insurance, and benefits
- You have control over when, where, and how you complete assigned work
- You may work for other platforms or clients simultaneously
- Digi does not provide employment benefits, superannuation, or other employee entitlements
4.2 Tax and Legal Obligations
As an independent contractor operating within Australia and New Zealand, you bear full responsibility for:
- Obtaining and maintaining a valid Australian Business Number (ABN) or New Zealand Business Number (NZBN) as legally required
- Accurately reporting all platform-derived income to the Australian Taxation Office (ATO) or Inland Revenue Department (IRD)
- Calculating and remitting applicable income tax, Goods and Services Tax (GST), and Pay As You Go (PAYG) withholding obligations
- Maintaining meticulous financial records for a minimum of 5 years as per statutory requirements
- Securing necessary business licenses, professional certifications, and industry-specific permits
- Obtaining appropriate professional indemnity and public liability insurance coverage (minimum AU$2 million recommended)
- Complying with all applicable workplace health and safety regulations in your home office environment
5.1 Professional Conduct Standards
You agree to maintain the highest standards of professional conduct and use the platform in accordance with these Terms. You will:
- Provide accurate, up-to-date, and verifiable information in all communications and profiles
- Complete assigned remote work with exceptional attention to detail and quality
- Maintain professional, respectful, and timely communication with all parties
- Proactively report technical issues, security concerns, or platform improvements
- Safeguard your account credentials using industry-standard security practices
- Participate actively in Digi community events and professional development opportunities
- Provide constructive feedback to help improve the platform experience
- Maintain confidentiality of all proprietary platform information and processes
5.2 Strictly Prohibited Activities
The following activities are expressly forbidden and may result in immediate account termination:
- Sharing, transferring, or allowing unauthorized access to your account credentials
- Attempting to circumvent platform security measures or access restricted areas
- Soliciting clients for direct work outside the Digi platform without explicit authorization
- Submitting false credentials, qualifications, or work history information
- Engaging in any form of harassment, discrimination, or unprofessional behavior
- Using the platform for any illegal activities or violations of local regulations
- Attempting to reverse engineer, copy, or distribute proprietary platform technology
- Creating multiple accounts or using automated tools to gain unfair advantages
- Sharing confidential client information with unauthorized parties
6. Work Requirements and Standards
6.1 Professional Excellence Standards
All remote work assignments must exceed industry benchmarks and meet Digi's premium quality standards. This includes:
- Delivering exceptional results that consistently surpass client expectations
- Adhering to strict project timelines with proactive communication about any potential delays
- Maintaining the highest levels of professionalism in all client interactions
- Participating in continuous learning programs and obtaining relevant industry certifications
- Contributing to knowledge sharing within the Digi contractor community
- Implementing best practices for cybersecurity and data protection
- Providing detailed project documentation and handover materials
6.2 Performance Monitoring and Quality Assurance
Digi employs sophisticated monitoring systems and may:
- Conduct comprehensive quality reviews using AI-powered assessment tools
- Provide personalized coaching and mentorship programs for skill enhancement
- Implement dynamic assignment allocation based on performance analytics and client feedback
- Offer performance-based incentives and bonus structures for exceptional work
- Temporarily pause assignments for contractors requiring additional skill development
- Permanently remove contractors who consistently fail to meet quality standards
7. Compensation and Payment
7.1 Payment Rates
Payment rates vary by assignment type and complexity, with highly competitive rates for remote work across Australia and New Zealand. Rates typically range from AU$22-45 per hour depending on specialization. Rates are communicated before project acceptance and may be adjusted based on:
- Project complexity and technical requirements
- Contractor expertise level and certification status
- Client budget and project timeline
- Geographic location and time zone requirements
- Long-term contract potential and performance bonuses
7.2 Payment Terms
- Payments are processed monthly on the 15th of each month
- Payment methods include direct deposit (Australian/NZ bank accounts), Wise, or cryptocurrency (Bitcoin/Ethereum)
- Minimum payment threshold of AU$100
- Payment processing may take 5-7 business days
- All payments are made in Australian dollars (AUD) or New Zealand dollars (NZD)
- Contractors may request expedited payments for urgent situations (fees may apply)
7.3 Payment Disputes
Payment disputes must be reported within 30 days of the payment date. Digi will investigate and resolve disputes fairly and promptly in accordance with Australian consumer protection laws.
8. Intellectual Property Rights and Ownership
8.1 Client Work Product and Deliverables
Unless explicitly specified otherwise in individual project agreements, all work products, deliverables, designs, code, content, and intellectual property created through platform assignments become the exclusive property of the commissioning client upon final payment completion. You hereby irrevocably assign all rights, title, interest, and ownership in such work products to the client, including but not limited to copyrights, trademarks, trade secrets, and moral rights.
8.2 Digi Platform Intellectual Property
Digi retains complete and exclusive ownership of all platform-related intellectual property, including but not limited to:
- Proprietary software algorithms, artificial intelligence systems, and matching technologies
- Platform interface designs, user experience elements, and visual branding
- Business methodologies, operational processes, and quality assurance frameworks
- Database structures, contractor profiles, and aggregated performance analytics
- Training materials, certification programs, and educational content
- All trademarks, service marks, logos, and brand identities
Contractors are expressly prohibited from copying, reverse engineering, distributing, or creating derivative works based on any Digi intellectual property without written authorization.
8.3 Contractor-Owned Intellectual Property
You retain ownership of any pre-existing intellectual property, tools, methodologies, or knowledge that you bring to client projects. However, you grant Digi a perpetual, royalty-free license to use aggregated, anonymized data derived from your work for platform improvement and analytics purposes.
9. Confidentiality and Data Protection
You acknowledge that during your engagement with Digi, you may have access to highly sensitive and confidential information. You agree to maintain absolute confidentiality and implement appropriate safeguards regarding:
- Client company proprietary information, trade secrets, strategic plans, and competitive intelligence
- Project-specific technical specifications, methodologies, and undisclosed features
- Digi's proprietary platform architecture, algorithms, and business intelligence systems
- Personal information and performance data of other contractors within the network
- Financial information, pricing structures, and revenue models of all parties involved
- Market research, client acquisition strategies, and expansion plans
- Any information designated as confidential or that would reasonably be considered confidential
9.1 Data Security Requirements
You must implement and maintain enterprise-grade security measures including:
- End-to-end encryption for all data storage and transmission
- Multi-factor authentication on all devices and accounts
- Regular security software updates and vulnerability patching
- Secure, password-protected networks for all work activities
- Physical security measures for work devices and printed materials
9.2 Confidentiality Duration
This confidentiality obligation is perpetual and continues indefinitely, surviving termination of your contractor relationship, account closure, or cessation of platform operations. Breach of confidentiality may result in immediate termination and legal action for damages.
10. Termination
10.1 Voluntary Termination by Contractor
You may terminate your account at any time by providing 14 days written notice to Digi. Upon voluntary termination:
- Outstanding payments for completed assignments will be processed within the next payment cycle
- Access to premium tools and resources will be suspended immediately
- A final performance review will be conducted and added to your record
- You may request a professional reference letter within 30 days of termination
- Certain account data may be retained for legal and reference purposes as outlined in our Privacy Policy
10.2 Termination by Digi
Digi reserves the right to suspend or terminate accounts immediately and without prior notice for:
- Material breach of these Terms & Conditions or platform policies
- Consistent failure to meet quality standards or performance metrics
- Fraudulent activity, misrepresentation, or security violations
- Breach of client confidentiality or non-disclosure agreements
- Extended inactivity exceeding 90 days without prior notification
- Failure to maintain required qualifications or legal work authorization
- Violation of professional conduct standards or community guidelines
10.3 Consequences of Termination
Upon account termination (voluntary or involuntary):
- All platform access and privileges are immediately revoked
- Confidential materials must be returned or securely destroyed within 48 hours
- Outstanding contractual obligations remain binding until completion
- Post-termination confidentiality obligations continue indefinitely
- Intellectual property assignments and limitation of liability clauses survive termination
- Re-application may be considered after a minimum 12-month period (at Digi's discretion)
11. Limitation of Liability
Important Limitation Notice: Please carefully review these liability limitations as they significantly affect your legal rights and remedies in relation to the Digi platform.
11.1 Maximum Liability Cap
To the fullest extent permitted by Australian law, Digi's total aggregate liability for all claims arising from or relating to these Terms or your use of the platform is strictly limited to:
- The total amount of fees paid to you through the platform in the 6 months immediately preceding the claim, or
- AU$5,000, whichever is greater
11.2 Excluded Damages
Under no circumstances will Digi be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, business opportunities, or anticipated savings
- Data loss, corruption, or unauthorized access (except where required by law)
- Business interruption or loss of goodwill
- Third-party claims or damages arising from client relationships
- Currency fluctuations or exchange rate variations
- Costs associated with alternative services or platforms
11.3 Platform Availability and Performance
Digi provides the platform on an "as is" and "as available" basis. We specifically disclaim:
- Guarantees of continuous, uninterrupted, or error-free platform operation
- Warranties regarding assignment availability or income potential
- Responsibility for third-party integrations, tools, or services
- Liability for contractor tax obligations or employment law compliance
- Guarantees regarding client satisfaction or payment disputes
12. Indemnification and Risk Allocation
You agree to defend, indemnify, and hold harmless Digi, its subsidiaries, affiliates, officers, directors, employees, agents, and partners from and against any and all claims, demands, losses, costs, expenses, damages, and liabilities, including reasonable attorney's fees and court costs, arising from or relating to:
- Your material breach of this Agreement or violation of platform policies and procedures
- Your negligent, reckless, or intentionally wrongful acts or omissions in performing work assignments
- Your violation of applicable laws, regulations, or professional standards in any jurisdiction
- Claims related to your employment status, tax obligations, or worker classification disputes
- Intellectual property infringement claims arising from your work products or methodologies
- Data breaches, security violations, or unauthorized disclosure of confidential information
- Third-party claims arising from your interactions with clients or other contractors
- Defamation, harassment, or discrimination claims related to your conduct
- Professional malpractice or errors and omissions in your deliverables
12.1 Insurance Requirements
You are strongly encouraged to maintain appropriate professional liability insurance with minimum coverage of AU$1 million per occurrence and AU$2 million aggregate. Upon request, you may be required to provide proof of insurance coverage for certain high-value or high-risk assignments.
12.2 Limitation of Indemnification
Your indemnification obligations are limited to the extent that claims arise solely from Digi's gross negligence, willful misconduct, or material breach of this Agreement. This indemnification provision survives termination of your contractor relationship.
13. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Victoria, Australia, without regard to conflict of law principles. Any disputes, claims, or legal proceedings arising from or relating to these Terms or your use of the Digi platform will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
13.1 Comprehensive Dispute Resolution Process
Before initiating formal legal proceedings, all parties agree to follow this mandatory dispute resolution process:
- Direct Negotiation (14 days): Parties must attempt good faith resolution through direct communication
- Formal Mediation (30 days): If negotiation fails, disputes will be submitted to professional mediation through the Australian Commercial Disputes Centre
- Expert Determination (21 days): For technical disputes, parties may agree to binding expert determination by industry professionals
- Binding Arbitration: Final disputes will be resolved through confidential arbitration under the ACICA Arbitration Rules
13.2 Emergency Relief
Notwithstanding the dispute resolution process above, either party may seek immediate injunctive or equitable relief from competent courts to:
- Protect confidential information and trade secrets
- Prevent ongoing breach of platform security measures
- Preserve evidence or prevent destruction of critical data
- Enforce intellectual property rights
14. General Provisions
14.1 Entire Agreement
These Terms constitute the entire agreement between you and Digi regarding platform use, superseding all prior agreements.
14.2 Severability
If any provision is found unenforceable under Australian law, the remaining provisions remain in full force and effect.
14.3 Assignment
You may not assign your rights under these Terms. Digi may assign its rights and obligations at any time.
14.4 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
14.5 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures.
